History
Santander Consumer Bank was constituted in 1988 in Turin by 10 small and medium sized banks willing to enter the then new-born consumer lending market.
In 1993 Istituto Bancario S. Paolo di Torino (now known as Banca San Paolo-Imi S.p.A.) entered the shareholding by acquiring a 20% stake, increased to 50% in 1997. At the same time the other shareholders sold their shares to CC-Holding GmbH, a German holding company indirectly owned by Santander Central Hispano.
From 1997 to 2003, San Paolo IMI and Santander Group jointly held the company.
In March 2003 the two shareholders reached an agreement: Sanpaolo IMI would have sold its 50% stake to Santander Central Hispano Group in two steps: a first 20% was sold on the 8th of September 2003, whilst commencing on 20th December, 2003 the SCH Group had a call option and Sanpaolo IMI a put one for the remaining 30% (which was exercised on the 23rd of January 2004). Therefore the company is now part of Santander Consumer Finance S.A., which is wholly owned by SCH.
Whilst at the time of incorporation it was established as an "intermediario finanziario" pursuant to article 107 of the Italian Banking Law, in October 2001 Santander Consumer Bank obtained the banking status, changing its name into Santander Consumer Bank.
